Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, you confirm that your parent or legal guardian has reviewed and accepted these Terms on your behalf.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it up to date. You must immediately notify us of any unauthorized use of your account. We may suspend or terminate your account if you violate these Terms.

3. Subscriptions & Payments

The Service offers paid subscriptions to content created by individual creators on the platform.

• Subscription fees are billed in advance on a recurring basis
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• Refunds are provided only where required by law or at our sole discretion
• We may change subscription pricing with reasonable notice; continued use after a price change constitutes acceptance

4. User Content

You retain ownership of content you post to the Service ("User Content"). By posting User Content, you grant Palm Fitness, Inc. a worldwide, non-exclusive, royalty-free license to host, reproduce, modify (for technical purposes such as formatting and display), and display your User Content for the purpose of operating and promoting the Service.

You represent that you have all rights necessary to grant this license and that your User Content does not infringe the rights of any third party.

5. Acceptable Use

You agree not to:

• Post content that is unlawful, threatening, defamatory, obscene, or infringing
• Harass, abuse, stalk, or impersonate other users
• Upload malware, spam, or unsolicited advertising
• Attempt to access, tamper with, or disrupt the Service or other users' accounts
• Use the Service to provide medical, legal, or financial advice requiring professional licensure
• Scrape, copy, or redistribute the Service or its content without permission
• Post sexually explicit material, hate speech, or content that endangers minors
• Impersonate any person or entity, or falsely represent your affiliation

Violations may result in content removal, account suspension, or permanent termination.

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Palm Fitness, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

7. Creator Program

Creators who offer paid subscriptions on the Service are subject to these additional terms, which form part of these Terms of Service:

Eligibility

To become a Creator, you must be at least 18 years old, have a valid payout method, comply with all applicable tax laws in your jurisdiction, and agree to these Terms.

Revenue Share

• Creator: 80% of net revenue (after payment processing fees and taxes)
• Platform: 20%

Content Ownership

Creators retain ownership of their content. By making content available through the Service, you grant Palm Fitness, Inc. a worldwide, non-exclusive, royalty-free license to host, distribute, and promote your content on the Service.

Payouts

• Minimum payout threshold: $50 USD
• Payouts are issued monthly, approximately 30 days after the end of each billing cycle
• We may withhold payouts for suspected fraud, chargebacks, or violations pending investigation

Tax Responsibilities

You are solely responsible for reporting and paying any taxes on your earnings. We may be required to issue tax forms (e.g., US 1099-K) and may withhold amounts where required by law.

Termination of Creator Status

Either party may terminate the creator relationship at any time. Upon termination, active subscriptions remain in effect until the end of the current billing period. Pending payouts above the minimum threshold will be released within 30 days.

8. Health & Fitness Disclaimer

Nothing on the Service — including workouts, meal plans, body metrics, and guidance from Creators — is intended to be a substitute for professional medical advice, diagnosis, or treatment. Palm Fitness, Inc. is not a medical provider and does not practice medicine.

Before starting any new exercise program, diet, or health regimen, you should consult a qualified healthcare professional, especially if you have any existing medical condition, injury, or disability.

You are solely responsible for how you use the Service. Physical activity carries inherent risks, including injury, and you assume those risks voluntarily. If you experience a medical emergency, call your local emergency services immediately. Do not rely on the Service for medical care.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PALM FITNESS, INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PALM FITNESS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR SERVICE INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Delaware, USA, in accordance with its rules.

You may opt out of arbitration within 30 days of accepting these Terms by emailing legal@palmfitness.app.

You and Palm Fitness, Inc. agree that disputes will be resolved only on an individual basis. Class actions and representative actions are waived to the extent permitted by law.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. The exclusive venue for any action not subject to arbitration shall be the state and federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by direct notice. Your continued use of the Service after a change constitutes acceptance of the updated Terms.
